Luxembourg, December 30th 2019 – The acquisition of GB Life Luxembourg S.A. by Foyer S.A. has been finalized today.
Pieter Coopmans, CEO of GB Life Luxembourg declares: “I am pleased to announce that GB Life Luxembourg is officially part of Foyer Group. Luxembourg, August 29th 2019 – GB Life Luxembourg S.A. announces that an agreement to be acquired by Foyer S.A. has been signed. The transaction is subject to regulatory approval by the “Commissariat aux Assurances.” GB Life Luxembourg has been offering life insurance solutions across Europe for over 25 years. In recent years it has reinvented its business model anticipating the trends in the international life insurance industry:

  • Launching ePlatinum: a 100% digital life insurance solution, transparent and performant;
  • Implementing eConnect: a state-of-the-art digital platform for partners and clients;
  • Introducing integrated partnerships: co-designing solutions and services with insurance intermediaries and financial institutions.

Going forward, GB Life Luxembourg will continue to make life insurance easier for partners and clients. Its unique business approach in the affluent client segment adds a new pillar to the existing cross-border life activities of Foyer Group.

The Report has been prepared as required by Articles 51 to 56 of the Solvency II Directive (2009/138/EC) as amended by the Directive 2014/14/EU (the “Directive”) and Articles 290 to 302 of the Delegated Regulation 2015/35 (the “Delegated Regulation” or “DR”). It has been developed in accordance with the Solvency II Regulations governing insurance group reporting, and is solely intended to fulfil the requirements thereof.

We put all the necessary resources in place to build and maintain our partnerships

How do we build solid partnerships? We involve all the necessary resources, working in the different departments, and listen to the specific needs of our business partners personally.

 

 

Sometimes we receive requests, perhaps on matters that are not within our competence or in our standard way of working, which require further clarifications and details. The most effective way to understand them is to meet the applicant in person and ask for support from someone who has the right expertise about the subject.

At GB Life we use the same approach but in a more zealous way: we periodically organize mini road shows to meet our partners, involving the right specialists to listen to the specific problems and requests, analyse them and discuss possible solutions together.

Following the latest mini roadshow, our Head of legal, Nicoleta Glodean, reported: “the open discussion we had with our counterparties allowed us to immediately identify the opportunities to develop a win-win solution” .

Nicola Troilo, from  the Marketing department added: “the interesting interactions demonstrated how important those meetings are to understand our business partner’s needs. A successful business relationship is based 20% on administration topics (products, documentation, etc), 30% on client servicing and 50% on interactions between the 2 actors”.

The business partner’s Head of Client stated: “talking directly to Daniela Panaccia, the Head of Client Service, herself allowed us to explain clearly and in detail what we were expecting from them.

By bringing together people who speak the same language, counterparties who understand the most intrinsic aspects and details, we establish a relationship of trust and mutual understanding. A simple, effective and efficient way to build partnership.

GB Life Luxembourg’s CEO, Pieter Coopmans, announces the appointment of Marc Stevens as Chief Marketing and Distribution Officer.

Marc Stevens has a long-standing international experience in the insurance industry. He has held various positions during his career, in particular as Sales and Marketing Manager for Ohra Leven/Delta Lloyd Life in Belgium, as General Manager of Vitis Life and most recently as CEO of OneLife Luxembourg.

GB Life Luxembourg’s Chief Legal and Compliance Officer (CLCO), Gaëlle Leclaire, is pleased to announce the appointment of Nicoleta Glodean as Head of Legal.

 

 

In line with the company’s growth strategy which includes attracting new talents, Mrs. Glodean will contribute to achieving the company objectives by bringing more than 10 years of experience in the Legal department of a well-known company in Luxembourg with her.

CLCO, Gaëlle Leclaire, said: “I am delighted that Nicoleta Glodean joins GB Life Luxembourg. Nicoleta will play a leading role in the company as she will manage the Legal team and will be the main representative of the company in all communication with the regulators in our core markets. She will support the company’s wealth management activity with legal and tax advice while ensuring delivery on regulatory projects.”

Mrs. Glodean (Romanian, 39 years old) graduated with a Master degree in International Private Law and International Commerce and another Master in International Administration from the Université Paris I Pantheon Sorbonne.

The GDPR – the Europe’s General Data Protection Regulation – has entered into force on May 25th 2018. You have probably already heard about it.

The GDPR is a European regulation that aims to give citizens more control over their personal data, to make companies more responsible and to reinforce the role of local data protection authorities. It will update and modernise the previous rules in force dating back to 1995, as a result of globalisation and the emergence of new technologies over the last 20 years.

Marc Stevens

Directeur Marketing et Distribution (Chief Marketing & Distribution Officer)

Marc Stevens possède d’une longue expérience dans le secteur des assurances internationales. Avant d’occuper le poste de Directeur du Marketing et Distribution chez GB Life Luxembourg en novembre 2018, il a travaillé pour ABB Assurances et OHRA Leven (Delta Lloyd Life) où il occupait le poste de directeur commercial. Il a été directeur général chez VITIS LIFE puis PDG de OneLife Luxembourg. Il est également professeur invité en planification financière pour des étudiants en Master de l’École de gestion de l’Université d’Anvers. Marc est titulaire d’un master en criminologie de l’Université catholique de Louvain ainsi qu’un diplôme de troisième cycle en marketing de la Business School de l’Université d’Anvers.

Adam Joseph

Directeur de l’Actuariat (Chief Actuary Officer)

Adam Joseph compte 15 ans d’expérience dans le secteur des services financiers durant lesquels il a occupé diverses fonctions dans les domaines de la gestion d’actifs, du conseil actuariel, de la gestion des risques et des fusions/acquisitions d’entreprises. Il a rejoint GB Life Luxembourg en janvier 2018 en qualité de Directeur de l’Actuariat. M. Joseph a commencé sa carrière dans la gestion d’actifs et la recherche en financement d’entreprise. Depuis 2007, ses missions ont été étroitement associées à Solvabilité II, participant à la réalisation des documents et activités techniques et stratégiques du CRO Forum liés à Solvabilité II et jouant un rôle fondamental dans la transition du cadre économique d’ING/NN Group vers un cadre de gestion des risques et du capital de type Solvabilité II. Dans son dernier rôle, M. Joseph travaillait au sein de la division Corporate Finance de NN Group en qualité de Principal chargé des fusions/acquisitions d’entreprises du groupe. Adam Joseph est diplômé de l’Université de Rhodes, Afrique du Sud (2001).

José Bustillo

Directeur des Opérations (Chief Operations Officer)

José Bustillo jouit d’une longue expérience dans la gestion et l’audit de projets complexes et de grande envergure au sein d’environnements opérationnels de back-office. Il a rejoint GB Life Luxembourg en 2017 en qualité de Directeur des opérations après avoir travaillé plus de 30 ans dans le secteur financier, notamment chez Euroclear. Avant de rejoindre l’équipe de direction de GB Life, M. Bustillo était partenaire d’un cabinet de conseil spécialisé dans la gestion des risques, qui fait aujourd’hui partie de McKinsey & Company. Sa mission était essentiellement axée sur Solvabilité II. M. Bustillo est titulaire d’un diplôme de génie civil de l’Université Libre de Bruxelles.

 

Gaëlle Leclaire

Directrice de la conformité et de la gestion des risques (Chief Risk and Compliance Officer)

Gaëlle Leclaire compte 20 ans d’expérience dans le secteur de l’assurance-vie. Elle a commencé sa carrière en qualité de contrôleur financier en France avant de s’installer au Luxembourg. Elle a précédemment travaillé chez Mazars, PwC et ABN AMRO Life S.A. Mme Leclaire a rejoint GB Life Luxembourg en 2008 et a intégré l’équipe de direction en 2009 en tant que Directrice financière (CFO). Elle a repris le poste de Directrice des opérations (COO) en 2015, poste auquel elle était également responsable de la gestion des produits.
En 2017, elle a été nommée Directrice Juridique & Conformité de GB Life Luxembourg. Mme Leclaire est titulaire d’un diplôme d’une École de Commerce et d’une accréditation professionnelle en comptabilité et finances.

Will Romero

Membre du Conseil d’administration

M. Romero a endossé des fonctions de direction au sein de Financial Guaranty, Benfield, Swiss RE, Ernst & Young et New York Life. Plus récemment, il a créé Factor Re, un véhicule de financement à bas coût et efficace axé sur la valeur présente au sein des blocs d’assurance-vie. M. Romero est titulaire d’une licence (B.A.) avec mention de l’Université de Yale, d’un doctorat de droit (J.D.) de l’Université du Colorado, et d’une maîtrise (LL.M.) de fiscalité de l’Université de New York.

 

Matteo Castelvetri

Membre du Conseil d’administration

M. Castelvetri a rejoint Global Bankers Insurance Group après avoir travaillé pendant 19 ans au sein des services Investment Banking de Morgan Stanley et de Goldman Sachs. En tant que Directeur général du Financial Institution Group de Morgan Stanley, il encadrait les efforts liés au développement des activités d’assurance en Europe et était responsable de la couverture de plusieurs grands assureurs européens. Il a conseillé plus de 50 transactions et a mis en place et réalisé certaines des plus grosses opérations de fusion/acquisition, de restructuration et d’introduction en bourse du secteur de l’assurance en Europe. M. Castelvetri a commencé sa carrière chez Goldman Sachs en tant qu’investisseur spécialisé dans les obligations d’État et les titres de créance en difficulté, puis comme conseiller auprès des banques et des assureurs. Il est titulaire d’une licence de sciences économiques avec mention d’excellence de l’Université Bocconi à Milan, ainsi que d’une licence de guitare classique.

 

Victor Rod

Président du Conseil d’administration

Victor Rod est titulaire d’un diplôme de droit de l’université de Nancy (France) obtenu en 1973. Après une courte période en tant qu’Avocat du Barreau de Luxembourg, il a occupé les fonctions de Secrétaire général de l’Association luxembourgeoise des Compagnies d’Assurances (ACA).

En 1980, il a été nommé premier directeur à temps plein du Commissariat aux assurances, l’organe officiel luxembourgeois de surveillance du secteur des assurances. Il sera le doyen des responsables d’organes de surveillance du secteur des assurances en exercice en Europe jusqu’à sa retraite le 31.12.2014.

M. Rod a été président suppléant de l’Autorité européenne des assurances et des pensions professionnelles (AEAPP) sise à Francfort depuis sa création jusqu’à sa retraite (2010-2014).

Il a également été délégué luxembourgeois au Comité européen des assurances et des pensions professionnelles (CEAPP) à Bruxelles et membre du comité de direction de l’Association Internationale des Contrôleurs d’Assurance (AICA), l’organe international de normalisation du secteur de l’assurance, situé à Bâle.

M. Rod a été président d’une banque luxembourgeoise pendant 25 ans. Outre son rôle de président et d’administrateur indépendant de GB Life Luxembourg, il siège au conseil d’administration d’une grande compagnie d’assurance nationale et compte 20 ans d’expérience en tant que membre non exécutif du conseil d’administration du plus grand opérateur satellitaire au monde.

Depuis 2015, M. Rod intervient en tant que conseiller juridique auprès du plus grand cabinet juridique indépendant luxembourgeois Arendt & Medernach (A & M), essentiellement sur les questions juridiques, réglementaires et techniques relatives aux dossiers d’assurances et de réassurance.

 

Christophe Hucque

Directeur financier (Chief Finance Officer )

Christophe Hucque dispose d’une solide expérience dans le domaine de l’assurance. Il a rejoint GB Life Luxembourg (anciennement ING Life Luxembourg) en 2000 en qualité d’actuaire. Depuis 2006, il a occupé plusieurs postes à responsabilité au sein de GB Life Luxembourg. Il a rejoint l’équipe de direction en octobre 2006 en qualité de CFO/CRO. Entre 2007 et 2009, il a cumulé les postes de Directeur financier d’ING Life Luxembourg et d’ING Variable Annuities Europe (La Haye, Pays-Bas), en charge du déploiement à l’échelle européenne de la gamme de produits Variable Annuities. M. Hucque a été nommé Directeur des opérations (COO) en 2009, poste auquel il était également responsable de la gestion des produits et des relations commerciales avec ING Luxembourg. Il a repris son rôle de CFO en 2015, tout en étant également chargé du Risque entre 2015 et 2017. M. Hucque est titulaire de plusieurs diplômes de mathématiques et de sciences actuarielles.

Pieter Coopmans

Président-directeur général (Chief Executive Officer)

Pieter Coopmans compte plus de 20 ans d’expérience au sein des secteurs bancaire et de l’assurance, dans lesquels il a occupé divers postes de direction. Avant de rejoindre GB Life Luxembourg en 2012 en qualité de Président-directeur Général et Dirigeant Agréé, il a assumé diverses fonctions de gestion/direction au sein de grands groupes de services financiers comme NN Group, Zurich Financial Services, SNS Reaal et ING Group. M. Coopmans a joué un rôle fondamental dans le processus consistant à séparer GB Life des groupes ING puis NN et à en modifier l’image de marque, ainsi que dans le repositionnement de l’entreprise au sein de l’univers de l’assurance-vie transfrontalière. Sous sa responsabilité, l’équipe de direction a préparé et réalisé la vente de GB Life à une filiale de Global Bankers Insurance Group en 2017. M. Coopmans est titulaire d’une licence d’administration des affaires de l’Université européenne et d’un Master en administration des affaires de l’Université de Nyenrode à Breukelen.
